What's the best program to convert mkv files to xvid?

Trying to transfer a foreign video from mkv to xvid format so I can view it on my tv. The program should allow it so subtitles fonts can be edited. While on the topic what's a good program that I can use to edit subtitles or add subtitles to my own video?
