Mercedes vs Nissan Skyline in a race who wins?

My friend thinks a Skyline with upgraded parts and stuff could beat one of the newest Mercedes.

Me i no Mercedes would win so what is the truth??

It depends entirely on what kind of Mercedes you are talking about. Any of the run of the mill models, even the street AMG models (such as an E55 AMG) would lose to the Skyline, mostly because the Mercedes are heavy cars. Now if you had something like a Mercedes SLR McLaren, that thing is build from the ground up as a track car and would definitely beat almost any Skyline.
