    How do I respond to girlfriend's complaining/venting?

My girlfriend has a difficult boss who micromanages her and does her job for her. (He actually does everyone's job on staff and doesn't communicate with them so they can better meet his vision.) She comes home frustrated and tells me. We're both in similar fields at similar levels (management) so I tell her what I would do/what I think she should do. This, for some reason, annoys her and frustrates her more. Any ideas why? How should I respond? Just listen and don't offer solutions?
