Windows vista back up DVD legality?

I'm looking to upgrade to Windows 7 and wish to sell on my version of Vista with the genuine serial key. Trouble is the original DVD is damaged and I use a back up of it. What's the legality of selling it for someone else to use? The original disk is in hand.

The COA certificate is all that matters but your buyer may have to call Microsoft to authenticate the install. Not because of the DVD but because it has already been registered. It's one of those "interesting" formalities Microsoft like to annoy people with.
